IMPORTANT NOTICE
You4You’s Services facilitate coordination and communication with licensed health care providers. You4You is a technology and administrative platform and is not itself a physician, medical practice, pharmacy, hospital, emergency service, or insurer unless expressly stated otherwise. Use of the Services does not replace your relationship with your existing providers, and no physician-patient relationship is created between you and You4You or its non-clinical personnel.

Do not use the Services for emergency or crisis care. If you believe you have a medical emergency or mental health crisis, call 911, contact your doctor, or seek immediate in-person care.

These Terms contain important provisions regarding liability limits, dispute resolution, binding individual arbitration, and waiver of class or representative proceedings.

INTRODUCTION
You4You LLC and its affiliates (collectively, “You4You,” “we,” “us,” or “our”) operate websites, mobile applications, online tools, communication channels, and related products and services, including you4youhealth.com (collectively, the “Services”). These Terms of Use govern your access to and use of the Services.

By accessing, browsing, registering for, purchasing through, or otherwise using the Services, you agree to be bound by these Terms, our Privacy Policy, and applicable laws and regulations. If you do not agree, do not use the Services.

Additional terms may apply to specific products, subscriptions, promotions, or features. If additional terms conflict with these Terms, the additional terms control for that specific offering unless stated otherwise.

We may revise these Terms from time to time. Updated versions become effective when posted or as otherwise communicated. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms to the extent permitted by law.

  1. SERVICES, AVAILABILITY, ELIGIBILITY
    The Services may include, without limitation: health and wellness information; technology tools; questionnaires and data collection; account management tools; administrative support; scheduling support; payment processing support; pharmacy coordination; communications tools; at-home testing workflows; health record collection and storage; and access to independent licensed providers or partner organizations.

Availability of Services may vary by state, product type, clinical appropriateness, operational capacity, and legal restrictions. Certain Services may be unavailable in some jurisdictions or to certain users.

The Services are intended for users located in the United States unless expressly stated otherwise. Access from outside the United States is at your own risk, and you are responsible for compliance with local laws.

To use the Services, you represent and warrant that:
• You are at least 18 years old, or you have legally sufficient consent where allowed by law.
• You are legally capable of entering a binding agreement.
• You provide truthful, current, and complete information.
• You are located where the requested Service is lawfully offered.
• Your use complies with these Terms and applicable law.

Certain Services may require age 21+ or other eligibility criteria. Satisfaction of baseline eligibility does not guarantee access, treatment, prescriptions, approvals, shipments, or continued availability.

You are responsible for obtaining compatible hardware, software, internet access, phone service, and any related fees.

  1. TELEHEALTH, PHARMACY, TESTING SERVICES
    Telehealth involves delivery of health care services through electronic communications when a patient and provider are not in the same physical location. Telehealth may include secure messaging, forms, audio visits, video visits, asynchronous review, treatment planning, follow-up care, education, review of images, device data, laboratory data, and related communications.

Potential benefits may include convenience, speed, privacy, continuity, efficiency, and broader access to care. Potential limitations may include technology failures, delays, inability to perform hands-on exams, incomplete information, data risks, prescribing restrictions, and situations where in-person care is more appropriate.

By using telehealth-enabled Services, you acknowledge and agree:
• You understand telehealth has risks and benefits.
• You consent to receive care from independent licensed providers where applicable.
• Outcomes are not guaranteed.
• You will provide accurate and complete health information.
• Providers may decide telehealth is not clinically appropriate.
• You may be directed to in-person care, urgent care, or emergency care.
• Information will be collected, used, and disclosed as described in our Privacy Policy and as permitted by law.
• Technical issues may interrupt or delay services.
• You may withdraw consent by contacting us, subject to legal retention, completed transactions, and operational limitations.

You4You does not practice medicine and does not control independent clinical judgment. Licensed providers are solely responsible for medical decisions, diagnosis, treatment plans, prescriptions, and clinical communications they provide.

Except for communications from licensed providers, content available through the Services is for informational purposes only and is not medical advice.

No Insurance Accepted
Unless expressly stated otherwise, Services are offered on a cash-pay basis. We may not participate in commercial insurance networks or federal/state health programs. You are responsible for all charges associated with requested Services, products, consultations, testing, or prescriptions.

Pharmacy Services
If medication is prescribed, you may be offered fulfillment through partner pharmacies or other available options. You authorize us to transmit necessary personal, payment, shipping, prescription, and related information to pharmacies or fulfillment partners as needed to process orders and deliver products.

Medication availability, shipping times, refill eligibility, and product options may vary. Pharmacies may impose additional requirements.

At-Home Testing
Certain testing offerings may require provider review, authorization, or eligibility screening. Tests may be educational or informational and may not diagnose all conditions. You are responsible for following kit instructions, providing accurate samples, timely returns, and consulting your own provider regarding interpretation and next steps.

  1. ACCOUNT REGISTRATION AND SECURITY
    Some features require account creation. You agree to provide accurate, complete, and current registration information and promptly update changes.

You are responsible for maintaining confidentiality of usernames, passwords, access codes, and devices used to access your account. You accept responsibility for activity occurring under your account unless prohibited by law.

You must notify us promptly of suspected unauthorized access, credential compromise, or security incidents involving your account.

We may suspend, restrict, or terminate accounts; require credential resets; or take other reasonable security measures to protect users, the Services, or our business interests.

  1. PRIVACY
    Our Privacy Policy describes how we collect, use, share, retain, and protect information. The Privacy Policy is incorporated into these Terms by reference.

  2. OWNERSHIP AND LIMITED LICENSE
    The Services and all associated software, code, text, graphics, logos, trademarks, designs, interfaces, databases, compilations, audiovisual works, documentation, and other content are owned by You4You, its affiliates, licensors, or partners and are protected by intellectual property laws.

Subject to your compliance with these Terms, we grant you a personal, limited, revocable, non-exclusive, non-transferable license to access and use the Services for your own lawful, personal, non-commercial use.

No ownership rights are transferred to you. All rights not expressly granted are reserved.

  1. USER CONTENT AND FEEDBACK
    If you submit content, forms, messages, reviews, survey responses, suggestions, support requests, feedback, testimonials, or other materials (“User Content”), you represent that you have the rights necessary to submit it.

Subject to applicable privacy and health-information laws, you grant us and our service providers a worldwide, royalty-free, transferable, sublicensable license to host, store, copy, reproduce, modify, adapt, analyze, publish, display, distribute, and otherwise use User Content for purposes including: operating the Services; customer support; fraud prevention; legal compliance; analytics; quality assurance; product development; and marketing where permitted by law.

Publicly posted content may be visible to others and may be copied or indexed by search engines.

We may remove content or restrict access at our discretion.

We may preserve, access, or disclose information or User Content when reasonably necessary to comply with law, respond to legal requests, enforce agreements, investigate violations, prevent fraud, protect rights or safety, or provide customer support.

Notices should include sufficient identification of the copyrighted work, the allegedly infringing material, your contact information, a good-faith statement, and authority to act where applicable.

  1. RESTRICTIONS ON USE
    You may not, and may not assist others to:
    • Violate applicable laws or regulations.
    • Impersonate any person or entity.
    • Submit false, misleading, or fraudulent information.
    • Interfere with, damage, disable, overburden, or impair the Services.
    • Circumvent security controls or access restrictions.
    • Reverse engineer, decompile, or attempt to derive source code except where prohibited from restriction by law.
    • Use bots, crawlers, scrapers, data mining tools, or unauthorized automation.
    • Upload malware, viruses, harmful code, or disruptive content.
    • Infringe privacy, publicity, contract, or intellectual property rights.
    • Harass, threaten, abuse, intimidate, defame, or discriminate against others.
    • Send spam, chain messages, or unauthorized advertising.
    • Copy, reproduce, republish, sell, lease, sublicense, or commercially exploit the Services without authorization.
    • Access accounts, systems, or data without permission.
    • Use the Services beyond the scope expressly allowed by these Terms.

  2. DISCLAIMER OF WARRANTIES
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” YOU4YOU AND RELATED PARTIES DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, QUIET ENJOYMENT, SECURITY, AND RELIABILITY.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.

YOU USE THE SERVICES AT YOUR OWN RISK.

  1. LIMITATION OF LIABILITY
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU4YOU AND RELATED PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR SERVICE INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) $100; OR (B) THE AMOUNT YOU PAID TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not permit certain exclusions or limitations, so portions of this section may not apply to you.

  1. INDEMNIFICATION
    To the extent permitted by law, you agree to defend, indemnify, and hold harmless You4You and related parties from claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: your misuse of the Services; your violation of law; your infringement of third-party rights; fraud or misconduct; or breach of these Terms.

  2. THIRD-PARTY SERVICES AND LINKS
    The Services may contain links to, integrations with, or content from third parties. We do not control third-party services and do not endorse or guarantee their content, products, availability, or policies. Your dealings with third parties are solely between you and the third party.

We are not responsible for losses or disputes arising from third-party services.

  1. CHANGES, SUSPENSION, TERMINATION
    We may modify, update, suspend, discontinue, or remove any part of the Services at any time, with or without notice, to the extent permitted by law.

You may stop using the Services at any time.

We may suspend or terminate your access for any reason, including suspected fraud, misuse, security concerns, legal compliance, inactivity, chargebacks, or violation of these Terms.

Termination does not affect rights or obligations that by their nature should survive, including payment obligations, ownership provisions, disclaimers, liability limits, dispute resolution terms, and indemnification.

  1. PAYMENTS, SUBSCRIPTIONS, REFUNDS
    You agree to pay all disclosed fees, taxes, shipping charges, and other amounts associated with purchases or requested Services.

By submitting payment information, you authorize us and our payment processors to charge applicable amounts, including recurring charges for subscriptions you enroll in.

Prices, product availability, and promotional terms may change.

Failed, declined, reversed, or disputed payments may result in delays, suspension, collections activity, or cancellation of Services.

Unless otherwise stated in a separate written refund policy or required by law, fees are non-refundable once earned, processed, shipped, scheduled, or incurred.

You are responsible for maintaining current payment information.

  1. DISPUTE RESOLUTION; ARBITRATION
    Please read carefully.

Except for matters properly brought in small claims court, intellectual property matters, or requests for injunctive relief where allowed, disputes arising from these Terms, your use of the Services, communications from us, billing disputes, or related relationships will be resolved by binding individual arbitration.

This arbitration provision is governed by the Federal Arbitration Act and administered under applicable American Arbitration Association consumer rules, except as modified by these Terms.

You and You4You waive any right to a jury trial and any right to participate in a class, consolidated, collective, or representative action.

Claims may be brought only in an individual capacity.

Unless prohibited by law, any claim subject to arbitration must be initiated within one year after it arose or it is forever barred.

If a court proceeding is permitted, exclusive venue will be Wilmington, Delaware, unless applicable law requires otherwise.

If any portion of this arbitration section is found unenforceable, the remainder shall be enforced to the maximum extent permitted by law.

  1. TEXT MESSAGES AND EMAILS
    By providing contact information, creating an account, placing an order, initiating communications, or opting in, you consent to receive transactional communications such as verification messages, security alerts, appointment or provider messages, billing notices, refill reminders, shipment updates, support responses, and administrative notices.

If you separately opt in where required, you may also receive promotional communications.

Message and data rates may apply. Frequency may vary. Carriers are not liable for delayed or undelivered messages.

You may opt out of marketing texts by following provided instructions, including replying STOP where applicable. Opting out of marketing messages does not prevent necessary transactional messages where legally permitted.

Email and text channels may not be encrypted and may involve privacy or security risks.

  1. MISCELLANEOUS
    If any provision is held unenforceable, the remaining provisions remain in effect.

Our failure to enforce any provision is not a waiver.

You may not assign rights or obligations under these Terms without our written consent. We may assign these Terms in connection with merger, acquisition, financing, sale of assets, or reorganization.

Section headings are for convenience only.

These Terms, together with any incorporated policies and any additional terms you separately accept, are the entire agreement between you and You4You regarding the Services.
